Yearly obligations of a Cyprus company

A Cyprus company has to file a few things every year to stay in good standing. Miss them and the company pays penalties or, in the end, can be struck off.

After formation

  • Beneficial owners. Registered on the Registrar's beneficial owner register within 90 days of incorporation. We do it in the first week.
  • Tax identification code. Registered with the Tax Department through Tax For All within 60 days of incorporation. Included in every package.

Audit or review

Every Cyprus company files audited financial statements. A small company (turnover under EUR 300,000 and total assets under EUR 500,000) may use a review engagement instead, unless it claims the IP box, notional interest deduction or group relief. Your accountant prepares the statements and a licensed auditor signs them.

The tax return deadline changed

From tax year 2026, the corporate tax return and the final payment are both due 31 January of the second year after the tax year, so the 2026 return is due 31 January 2028. For tax years up to 2025 the return was due by 31 March of the second year after, with the payment due 1 August of the next year. The Tax Department often extends these dates.

When things change

Changes of directors, secretary, registered office, shareholders or beneficial owners are filed with the Registrar within set deadlines. The company secretary keeps the registers and makes these filings.

When you have VAT or staff

A VAT registered company files a VAT return every quarter. Registration is compulsory within 30 days once taxable turnover passes EUR 15,600 in 12 months. Before the first hire, the company registers as an employer with Social Insurance and notifies each new employee in ERGANI.

How we help

Orisma forms the company, includes the secretary for the first year in Standard and Ready to trade, and offers a partner accountant at a fixed price who handles these filings. We do not do bookkeeping ourselves.

General information from public sources, checked 31 October 2026. Deadlines can change; your accountant confirms the dates for your company.
